TERMS  OF  BUSINESS

DEFINITIONS

“We”, “our”, “us” all refer to Tony Blackler Limited (“TBL”).  “You”, “your” denotes the individual or company that is the client of TBL.

YOUR INSTRUCTIONS

You will provide us with such instructions, information and documents necessary for us to perform the Services for You.  When asked to represent a company we shall be entitled to request a personal guarantee from a director or controlling shareholder.

FEES AND EXPENSES

Our first consultation is without charge. Thereafter fees will be agreed at an hourly rate which is proportionate to the size and complexity of the issue.  Invoices will be sent at quarterly intervals and at the conclusion of the matter, payable within fourteen days.

INSURANCE

TBL maintains professional indemnity insurance. Its aggregate liability to You for any breaches of duty shall be limited to one million pounds.

CONFIDENTIALITY

All information received from You will be treated as confidential by us unless required for the performance of our Services, or by our auditors, or as required by law.

DOCUMENTS

We may scan or make copies of any documents You supply to us.  Original documents will be returned on completion of the Services and on payment of the last instalment of our fees.  Copies will be kept for a period of six years after completion of the Services.

TERMINATION

You or we may terminate the Services at any time by giving written notice to that effect. We will not do this without good reason, for example your failure to pay an invoice, or if there has been a breakdown of our relationship. On termination You shall remain liable for all fees and expenses previously incurred or yet to be invoiced.
